These terms of usage constitute a binding contract between you and Affilsure Pvt. Ltd.. This document is an electronic record under the Information Technology Act, 2000, and related rules. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Your usage of the domain https://affilsure.com/ is subject to your unconditional acceptance of these terms in totality.

1. DEFINITIONS & INTERPRETATION

1.1 Applicable Law – Refers to the Laws of India, including any relevant rules, regulations, notifications, directives, and guidelines.

1.2 Services – The services to be provided by the affiliate as specified in Annexure I.

1.3 Intellectual Property – Includes Affilsure Pvt. Ltd. trademarks, patents, copyrights, business secrets, proprietary techniques, software, designs, documents, and other confidential materials.

1.4 Intellectual Property Rights – Encompasses all rights, licenses, and renewals related to Affilsure Pvt. Ltd. intellectual property.

1.5 Person – Any individual, entity, or organization recognized under the law.

2. DESCRIPTION OF SERVICES

Once your account is approved, the services you provide will be outlined in Annexure I.

3. ABSOLUTE DISCRETION OF AFFILSURE

Affilsure Pvt. Ltd. reserves the right to suspend or terminate your access to the platform at any time without prior notice. Any data you provide may be used by Affilsure Pvt. Ltd. as deemed necessary.

4. PAYMENT

4.1 Commission payments will be processed 60 days from the date of an undisputed invoice.

4.2 Invoices must be submitted within 15 days of the campaign’s completion. Late invoices will not be processed.

4.3 Payments will be based on Affilsure Pvt. Ltd. reporting numbers.

4.4 If a campaign is stopped prematurely, pro-rata payments will be made for accepted leads.

4.5 Payments will be made after deducting applicable taxes.

5. CAMPAIGN

5.1 Campaign details will be communicated via the email provided during registration.

5.2 Affilsure Pvt. Ltd. may pause or cancel a campaign at its discretion.

6. NO EXCLUSIVITY

Affiliates work with Affilsure Pvt. Ltd. on a non-exclusive basis.

7. REPRESENTATIONS & WARRANTIES

Affiliates represent that:

• They are legally registered and authorized to operate in India.
• Their activities do not violate any laws or third-party agreements.
• They will not use unauthorized software, bots, or scripts to generate leads.
• They will not misrepresent Affilsure Pvt. Ltd. or its clients.

8. CREATIVE/ADVERTISING MATERIAL

8.1 Affilsure Pvt. Ltd. will provide advertising material for campaigns.

8.2 The provided materials can be used only as directed by Affilsure Pvt. Ltd..

9. DELIVERY

Campaign performance will be measured monthly, based on impressions, clicks, and conversions.

10. FRAUD

Any fraudulent activity, including:

• Fake transactions
• Unauthorized automated actions
• Unethical methods to generate leads

will result in immediate termination and forfeiture of all payments.

11. CANCELLED TRANSACTIONS

Orders that are canceled, incomplete, or rejected by the client will not be billable.

12. NO MISREPRESENTATION

Affiliates must not provide false information to generate leads. Any misrepresentation will lead to legal action and financial penalties.

13. INDEMNITY

Affiliates agree to fully indemnify Affilsure Pvt. Ltd. against any losses, legal claims, or damages caused by their actions.

14. NO SOLICITATION & NO POACHING

For 10 years post-termination, affiliates must not:

• Approach Affilsure Pvt. Ltd. clients, advertisers, or business partners for work.
• Engage in any activity that harms Affilsure Pvt. Ltd. business relationships.

15. UPDATION OF TERMS

Affilsure Pvt. Ltd. reserves the right to update these terms at any time without prior notice.

16. RELATIONSHIP OF PARTIES

Affiliates and Affilsure Pvt. Ltd.  remain independent parties. No joint venture, agency, or employment relationship is established.

17. GOVERNING LAW & JURISDICTION

These terms are governed by the Laws of India, and disputes will be settled in Delhi courts.

18. NO SUB-CONTRACTING

Affiliates cannot outsource their work to third parties.

19. CONFIDENTIALITY

Affiliates must keep all information provided by Affilsure Pvt. Ltd. confidential. Any misuse or unauthorized disclosure will result in legal consequences.

20. SURVIVAL

Certain terms, such as confidentiality and non-solicitation, will remain in effect even after termination.

22. ENTIRE AGREEMENT

This document is the complete agreement between you and Affilsure Pvt. Ltd.. It supersedes all previous agreements.

23. PUBLICITY

Affiliates cannot use Affilsure Pvt. Ltd. name for marketing or promotions without approval.

24. SEVERABILITY

If any term is found invalid, the remaining terms will still apply.
